These Terms and Conditions (“Terms”) govern your use of designinflow.com (the “Site”) and any services provided by Design In Flow LLC (“Design In Flow,” “Design & Flow,” “we,” “us,” or “our”). By using the Site, you agree to these Terms.
You agree to use the Site for lawful purposes and not to misuse the Site, attempt unauthorized access, interfere with security, or disrupt the Site’s operation.
We offer branding, web design, development, content creation, email marketing, social media support, consulting, and related creative services (“Services”), including subscription-style offerings such as FlowPoints.
Specific scope, deliverables, timelines, and pricing are typically defined in a proposal, statement of work, invoice, checkout page, or written agreement (each a “Project Agreement”). If there is a conflict between these Terms and a Project Agreement, the Project Agreement controls for that project.
If you schedule a meeting through Calendly, you are responsible for providing accurate information and attending the meeting on time. Reschedules and cancellations may be subject to policies described at the time of scheduling.
Payment terms are shown in your Project Agreement, invoice, or checkout flow.
General billing terms:
Fees are due as stated. Work may be paused if payment is late.
Third-party costs (plugins, hosting, paid fonts, stock assets, print costs, ad spend) are your responsibility unless we explicitly include them in writing.
If you purchase a subscription (including FlowPoints), you authorize recurring charges according to the selected plan and billing cadence, unless canceled according to the cancellation terms presented at signup or in your agreement.
Payments may be processed through Stripe and may include methods such as card and ACH. Availability of payment methods can vary.
You agree to provide timely access, content, and approvals required to perform the Services. You represent that you own or have permission to use any content you provide (logos, images, video, music, copy, trademarks) and that it does not infringe the rights of others.
Revisions, rounds of edits, and scope limits are defined in the Project Agreement. Requests outside scope may require additional fees and timeline changes.
Unless your Project Agreement says otherwise:
Your materials: You retain ownership of the materials you provide to us.
Our materials: We retain ownership of our pre-existing tools, templates, processes, know-how, and any materials created outside your paid scope.
Deliverables: Upon full payment, you receive a license to use the final deliverables for your business purposes. Working files (source files, project files, editable masters) are not included unless explicitly stated.
Unless you request otherwise in writing, you grant us permission to display completed work (and related materials such as your business name and logo) in our portfolio, website, presentations, and marketing. We will not share confidential information.
The Site may integrate third-party services (for example, hosting, scheduling, analytics, payments, embeds). Your use of third-party services is subject to their terms, and we are not responsible for third-party platforms or outages.
The Site and Services are provided on an “as is” and “as available” basis. We do not guarantee specific outcomes, including specific revenue results, search rankings, conversion rates, or advertising performance.
To the maximum extent permitted by law, Design In Flow LLC will not be liable for indirect, incidental, special, consequential, or punitive damages.
To the extent permitted by law, our total liability for claims related to the Site or Services will not exceed the total fees you paid to us for the Services that gave rise to the claim in the six (6) months prior to the event.
You agree to indemnify and hold harmless Design In Flow LLC from claims, damages, liabilities, and expenses arising out of your content, your misuse of the Site, or your breach of these Terms.
We may suspend or terminate Site access if you violate these Terms. Project cancellation and termination terms, if applicable, are governed by your Project Agreement.
These Terms are governed by the laws of the State of Tennessee. Any legal action related to these Terms or the Site will be brought in the state or federal courts located in Davidson County, Tennessee, unless a Project Agreement states otherwise.
We may update these Terms from time to time. The “Last updated” date reflects the most recent version. Continued use of the Site means you accept the updated Terms.
